Nina Live User Agreement
This is an agreement between the two parties
The owner of Ninalive, the operator of Ninalive and Ninalive clients and content (collectively, including all content provided through Ninalive clients and content), as well as the service user you ("you" or "you").
If you do not agree to any of these terms, you may not use the service.
Ninalive Services
These service terms apply to all users of the Ninalive service. The status information provided by Ninalive may include links to third-party websites not owned or controlled by Ninalive. Ninalive has no control over the content, privacy policies, or practices of any third-party website, and does not assume any responsibility. In addition, Ninalive will not and cannot review or edit the content of any third-party websites. By using this service, you expressly acknowledge and agree that Ninalive shall not be liable for any damages, claims, or other liabilities arising from or related to your use of any third-party website.
Ninalive Access
A. On the premise that you comply with these service terms, Ninalive hereby grants you a license to use the service, provided that: (i) you use the service only for your personal non commercial purposes under the license; (ii) You shall not copy, transfer, access, copy or distribute any part of the Service on any media without the prior written authorization of Ninalive; (iii) You will not attempt to reverse engineer, modify or modify any part of the service; And (iv) you will comply with the terms and conditions of these service terms.
B. In order to access and use the functionality of the service, you acknowledge and agree that you must provide Ninalive with your phone number, as well as the phone number of any third party you wish to use the service with. When providing your phone number, you must provide accurate and complete information. You hereby expressly agree that Ninalive will use the phone number you provided to provide access and use services for you. You are not allowed to use someone else's phone number without their permission. You will be fully responsible for displaying the status information for your phone number. You must immediately notify Ninalive of any violations of security or unauthorized use of your phone. Although Ninalive will not be responsible for any losses caused by unauthorized use of your account, you may be responsible for any losses caused by such unauthorized use by Ninalive or others.

You are responsible for your use of the service and any content provided, including compliance with applicable laws, regulations, and rules. You should only provide content that you are willing to share with others. The risk of using or relying on any content or materials published through the service or obtained by you through the service is your own responsibility. We do not endorse, support, represent or guarantee the integrity, authenticity, accuracy or reliability of any content or communication published through the service, nor do we endorse any opinions expressed through the service. You know that by using the service, you may come into contact with potentially offensive, harmful, inaccurate, or other inappropriate content, or in some cases, come into contact with tags that are incorrect or deceptive. All content is the sole responsibility of the creator of such content. We may not monitor or control content published through services, and we will not be responsible for such content. We reserve the right to delete content that violates the user agreement, including copyright or trademark infringement, counterfeiting, illegal behavior, or harassment.
intellectual property right
The design of the Ninalive Service and all text, scripts, graphics (including stickers), interactive features, etc. related to the Ninalive Service (collectively referred to as the "Ninalive Client and Content"), except for all user status submissions (as defined below) and trademarks. The service trademark and the logos contained therein ("Trademarks") are owned or licensed by Ninalive and are subject to the United States Copyright and other intellectual property constraints under foreign laws and international conventions. According to these service terms, you are granted a personal, non-exclusive, non-transferable, revocable, limited license to install and use Ninalive clients and content only for personal and non commercial purposes in connection with the service. This service, including the Ninalive client and content, is provided to you as is for your information and personal non commercial purposes only. Ninalive reserves all rights not explicitly granted to the service, Ninalive client, and content. Except as expressly permitted by this agreement, you agree not to use, copy, distribute, or otherwise utilize any Ninalive client and content, including for any commercial purpose, copying or distributing user status submissions obtained through the service from third parties. You further agree not to use the Ninalive client and content in a way that infringes or infringes on any third-party rights, and we assume no responsibility for any such use by you.
User status submission
A. The Ninalive service allows you to submit status texts and other communications submitted by you and other users ("User Status Submissions"), as well as hosting, sharing, and/or publishing such user status submissions. As described in the following section, you retain ownership in the submitted user status. You know, regardless of whether such user status submissions are published or not, Ninalive does not guarantee confidentiality of any submitted content.
B. You are fully responsible for the user status you submit yourself and the consequences of posting or publishing this information. As Ninalive is only a data repository, the status submitted by users may not necessarily represent Ninalive's views or opinions, and Ninalive makes no guarantees regarding the validity, accuracy, or legal status of any status. Regarding the submission of user status, you confirm, represent, and/or guarantee that (i) you have or possess the necessary licenses, rights, consents, and licenses to use and authorize Ninalive to use all patents, trademarks, trade secrets, and any and all copyrights or other proprietary rights submitted by user status, Submit in a user state that can be included and used in the manner specified in the service and these service terms; And (ii) you have obtained written consent and/or allowed each identifiable individual in the user status submission to use the name or portrait of each such identifiable individual, in order to include and use the user status submission in the manner specified in the service and these service terms. It should be clarified that you retain all ownership in the user status submission, but you must first possess these rights. However, by submitting user status submissions to Ninalive, you hereby grant Ninalive the right to use, copy, distribute, prepare derivative works, showcase, and perform user status submissions related to Ninalive's services and Ninalive's (and its successors') business worldwide, This includes but is not limited to promoting and redistributing some or all of Ninalive's services (and its derivative works) in any media format and through any media channel. You hereby grant a non-exclusive license to each user on the Ninalive service to access your user status submissions through the service, email, and mobile, and to display partial user status submissions as permitted by the service features and these service terms. Once you remove or delete user status submissions from the Sugar Talk service, the above license you have granted will terminate.
C. Regarding user status submission, you further agree that you will not: (i) submit materials that are protected by copyright, trade secrets, or otherwise subject to third-party exclusive rights (including privacy and disclosure rights), unless you are the owner of such rights or have obtained permission from their legal owners to post materials and grant Ninalive all the license rights granted here; (ii) publishing false information or false statements that may harm Ninalive or any third party; (iii) Submit illegal, obscene, defamatory, defamatory, threatening, harassing, hateful, racial or ethnic offensive materials, or encourage materials that are considered criminal, incur civil liability, violate any law or other inappropriate behavior; (iv) posting advertisements or soliciting business; (v) Impersonating others; (vi) Sending or storing materials containing software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents, or programs; (vii) interfere with or disrupt the integrity or performance of the service or the data contained therein; Or (viii) attempting to obtain unauthorized access to the service or its related systems or networks.
D. Adult content must be labeled as adult content. Ninalive does not endorse any user status submissions or any opinions, suggestions or suggestions expressed therein, and Ninalive expressly disclaims any and all responsibilities related to user status submissions. Ninalive does not allow copyright and intellectual property infringement activities through its services. If Ninalive is appropriately notified that such content or user status submissions infringe on the intellectual property of others, Ninalive will delete all content and user status submissions. Ninalive reserves the right to delete content and submit user status without prior notice. If the user is identified as a repeat infringer, or for any or no reason, including being annoying, Ninalive may also terminate the user's access to its services. Repeated infringers refer to users who have received multiple notifications of infringement activities and/or deleted user status submissions from the website more than twice. An annoying person refers to any authorized Ninalive employee, agent, subordinate agent, super agent, or superhero (willful or non willful) who deems an annoying individual. Ninalive also reserves the right to decide whether content or user status submissions are appropriate and comply with these service terms to address other violations besides copyright infringement and intellectual property law, such as but not limited to lengthy content or limited benefits. Ninalive may delete such user status submissions and/or terminate the user's access rights to upload such materials in violation of these service terms at any time, without prior notice, at its sole discretion.
E. You understand that when using the Ninalive service, you will be exposed to user status submissions from various sources, and Ninalive is not responsible for the accuracy, usefulness, security, or intellectual property of such user status submissions, and such user status submissions are not the responsibility of Ninalive. You further understand and acknowledge that you may be exposed to inaccurate, offensive, indecent, or offensive user status submissions. You agree to waive and hereby waive any legal or equitable rights or remedies you may have or may have against Ninalive, and agree to compensate and detain Ninalive, its owners/operators, affiliates, and/or licensors, To the maximum extent permitted by law, harmless to all matters related to your use of the website.
F. Ninalive allows you to link materials to services solely for personal, non commercial purposes. The commercial version is provided under separate licenses and terms. Ninalive reserves the right to terminate any aspect of Ninalive's services at any time.
The customer acknowledges that the product has an experimental nature, therefore, the product is provided to the customer "as is" without any form of guarantee. The customer agrees to back up any data before using or accessing the product or Ninalive website. Except as expressly provided in this agreement, Ninalive, its licensors, and Sugar Talk affiliates shall not be responsible for any costs, expenses, or other liabilities incurred by anyone as a result of the use or access of the product, Ninalive website, or customer to the product or Ninalive website.
You agree to use the Ninalive service at your own risk. To the maximum extent permitted by law, Ninalive and its officers, directors, employees, and agents do not assume any express or implied warranties related to the Services and their use. Ninalive makes no warranty or representation regarding the accuracy or completeness of the content of this service, and shall not be liable for any (I) errors, errors or inaccuracies in the content, (II) personal injury or property damage caused by your access and use of our service, (III) Unauthorized access or use of our servers and/or any and all personal and/or financial information stored therein, (IV) interruption or cessation of transmission to or from our services, or similar information that may be transmitted to or through our services through any third-party action, Any errors or omissions in and/or (V) any content, or any type of loss or damage caused by the use of any content published, sent, transmitted, or otherwise provided through the Ninalive service. Ninalive does not guarantee, acknowledge, guarantee or assume responsibility for any products or services submitted or otherwise advertised or provided by third parties through Ninalive's services, any hyperlinked websites, or any user status, and Ninalive will not become a party to any transactions between you and third-party product or service providers, We will not be responsible for monitoring any transactions between you and the third party providing products or services in any way. Just like purchasing products or services through any medium or in any environment, you should use your best judgment and act with caution when appropriate. Once again, this is just for fun.
Limitation of Liability
Under no circumstances shall Ninalive, its officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, punitive, or consequential damages caused by (I) errors, errors, or inaccurate content; (II) Personal injury or property damage of any nature, as a result of your access to and use of our services, (III) unauthorized access to or use of our secure servers and/or any and all personal and/or financial information stored therein, (IV) interruption or cessation of transmission to or from our servers, Any third party may send or transmit to our services, and/or (V) any errors or omissions in any content, or any type of loss or damage caused by your use of any content published, sent, transmitted, or otherwise provided through Ninalive customers and content, whether based on warranty, contract, tort, Or any other legal theory, and whether the company has been informed of the possibility of such damage. The above limitation of liability shall apply to the maximum extent permitted by the laws of the applicable jurisdiction. You expressly acknowledge that Ninalive shall not be liable for any defamation, attack, or illegal behavior of users or any third party, and the risk of injury or damage caused by the above content shall be entirely borne by you. You agree that you will not use this product in the operation of motor vehicles, time critical or emergency services or events, or in any operation that may result in injury or economic loss.
From its facilities in the United States of America. Ninalive does not mean that Ninalive services are suitable or available for use in other locations. Those who access Ninalive or use Sugar Talk services from other jurisdictions are voluntary and responsible for complying with local laws.
guarantee
You agree to defend, indemnify, and hold harmless Ninalive, its parent company, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or liabilities, and expenses (including but not limited to attorney's fees) arising out of: (i) Your use and use of Ninalive's services; (ii) You violate any of the terms of this service; (iii) You infringe on any third-party rights, including but not limited to any copyright, property or privacy rights; Or (iv) any claims for damages caused to third parties by the user status you submitted. This defense and compensation obligation will continue to be valid after the terms of this service and your use of Ninalive services. We do not support or encourage illegal drinking or smoking.
distribution
These service terms, as well as any rights and licenses granted under these service terms, may not be transferred or transferred by you, but may be transferred without restriction by Ninalive.
Omnibus
You agree that (i) Ninalive Services shall be deemed to be based solely in Delaware; (ii) Ninalive Services shall be considered as a passive server and shall not have personal jurisdiction over Ninalive in jurisdictions outside of California, whether specific or general; And (iii) you agree to be subject to the jurisdiction of the state of California in the event of any legal dispute. This service term shall be governed by the internal substantive laws of California, without regard to its conflict of laws principles. All or part of any claims or disputes arising between you and Ninalive due to Ninalive's services shall be exclusively adjudicated by a court of competent jurisdiction located in Delaware. The privacy and any other legal statements issued by Ninalive shall constitute the entire agreement between you and Ninalive regarding Ninalive's services. If a court of competent jurisdiction deems any provision of these service terms invalid, the invalidity of such provision shall not affect the validity of the remaining provisions of these service terms, and these provisions shall remain in full force and effect. Any waiver of any provision of these service terms shall not be deemed a further or continuing waiver of that or any other provision, and Ninalive's failure to exercise any right or provision under these service terms shall not constitute a waiver of that right or provision. Ninalive reserves the right to modify or modify these service terms at any time, and you are responsible for reviewing whether there are any changes to these service terms. After making any modifications to these service terms, your use of the Ninalive service will indicate your agreement and acceptance of the modified terms. You and Ninalive agree that any cause of litigation arising from or related to Ninalive's services must commence within one (1) year of the occurrence of the cause of litigation. Otherwise, such causes of action will be permanently prohibited.
Copyright Complaints
Ninalive respects the intellectual property rights of others, and we require users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or if your intellectual property has been infringed in other ways, you should follow the following procedure to notify Ninalive of your infringement claim.
Ninalive will handle and investigate notifications of suspected infringement, and will take appropriate action against any suspected or actual infringement in accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws.
The notice must be in writing and contain the following information to be effective:
The electronic or physical signature of a person authorized to act on behalf of the owner of copyright or other intellectual property rights;
A description of the copyrighted work or other intellectual property rights that you claim to have been infringed upon;
Provide a description of the location of the material you claim to be infringing on on the Ninalive service, and provide sufficient details so that we can find it on the Ninalive service;
Your address, phone number, and email address;
Your statement that you sincerely believe that the disputed use was not authorized by the copyright or intellectual property owner, their agent, or law; And your statement based on perjury that the above information in your notice is accurate, that you are the owner of the copyright or intellectual property, or authorized to act on behalf of the owner of the copyright or intellectual property.
If you believe that the content you have deleted (or access has been disabled) is not infringing, or if you have obtained authorization from the copyright owner or their agent, or if you are legally authorized to upload and use the content in your content, you can send a written counter notice to the copyright agent containing the following information:
Your physical or electronic signature;
The identification of content that has been deleted or prohibited from accessing, as well as the location where the content appeared before being deleted or disabled;
A statement stating that you sincerely believe that the content has been deleted or disabled due to errors or misunderstandings; And your name, address, phone number, and email address, a statement that you agree to the jurisdiction of federal courts located in the Northern District of California, and a statement that you will accept litigation services from those who provide suspected infringement notices.
If the copyright agent receives a counter notice, Ninalive will send a copy of the counter notice to the original complainant, informing them that they can replace the deleted content or stop disabling it within 10 working days. Unless the copyright owner files a lawsuit against the content provider, member, or user seeking court order, we may decide to replace or restore access to them at our discretion within 10 to 14 working days or more after receiving a counter notice.
